Terms & Conditions

These Terms & Conditions govern all quotations, orders, sales and export transactions between Chirak Exim (“the Company”, “we”, “us”) and any buyer, importer, distributor or enquirer (“the Buyer”, “you”) in connection with the agricultural products offered on chirakexim.com.

Please read carefully. By requesting a quotation, placing an order, or otherwise engaging Chirak Exim for the purchase or export of any product listed on this website, the Buyer agrees to be bound by these Terms & Conditions, in addition to any specific terms set out in a signed sales contract, proforma invoice or purchase order.

1Definitions

In these Terms, the following words carry the meaning given below unless the context requires otherwise:

  • “Company” refers to Chirak Exim, a B2B agricultural export business headquartered in Tirupati, Andhra Pradesh, India.
  • “Buyer” refers to any individual, importer, distributor, wholesaler or business entity requesting or purchasing goods from the Company.
  • “Goods” or “Products” refers to spices, rice and grains, fresh fruits, tea and coffee, oils, dehydrated products, and specialty products offered by the Company.
  • “Order” refers to any confirmed purchase, whether initiated via website enquiry, WhatsApp, email or a signed proforma invoice.
  • “Incoterms” refers to the International Commercial Terms published by the International Chamber of Commerce, as applicable to the shipment in question.

2Scope of Business

Chirak Exim operates as a business-to-business (B2B) exporter of agricultural products from India, supplying importers, wholesalers and distributors internationally, including but not limited to buyers in the UAE and Europe. The Company does not sell products directly to individual consumers for personal, non-commercial use, and reserves the right to decline enquiries that fall outside its B2B trade model.

All products are sourced, processed, packed and exported in accordance with applicable Indian agricultural export regulations, and are subject to the certifications held by the Company, including APEDA registration, FSSAI licensing, MSME registration and a valid Import Export Code (IEC).

3Quotations & Orders

Product listings, prices, images and descriptions on this website are provided for general informational purposes and do not constitute a binding offer for sale. A binding transaction is formed only when:

  • The Buyer submits a specific enquiry (via WhatsApp, email or contact form) detailing product, quantity, packaging and destination;
  • The Company issues a formal quotation or proforma invoice in response; and
  • The Buyer confirms acceptance of that quotation in writing, along with any applicable advance payment.

Minimum order quantities (MOQ), lead times and packaging options vary by product and are confirmed on a per-enquiry basis. Quoted prices remain valid only for the period stated in the quotation, after which they are subject to revision due to changes in raw material cost, freight rates or currency fluctuation.

4Pricing & Payment Terms

Unless otherwise agreed in writing, all prices quoted by the Company are exclusive of freight, insurance, customs duties, import taxes and destination-port charges, which remain the responsibility of the Buyer as per the agreed Incoterm.

Goods will not be dispatched until payment terms specified in the proforma invoice are fulfilled. The Company reserves the right to hold or cancel an order if payment is delayed beyond the agreed schedule, and any bank charges, transfer fees or currency conversion losses are borne by the Buyer unless otherwise agreed.

5Product Quality & Natural Variation

Chirak Exim sources and processes agricultural products to meet the quality specification confirmed at the time of order (e.g. grade, moisture content, size, colour tolerance). However, the Buyer acknowledges that agricultural commodities are natural products, and minor variation in colour, size, moisture level or appearance between batches is normal and does not, by itself, constitute a quality defect.

Where a Buyer requires a specific, verifiable specification (e.g. curcumin content, ASTA colour value, oil content, aflatoxin limits), this must be stated explicitly in the order and confirmed by the Company in writing before dispatch. Lab test reports can be provided on request, subject to applicable charges for third-party testing.

6Packaging & Labelling

Standard export packaging (e.g. moisture-barrier pouches, vacuum-sealed bags, export cartons, jute or PP bags, drums, or jumbo bags) will be used unless the Buyer specifies an alternative packaging format in the order, subject to feasibility and any additional cost.

Private label and custom packaging services are available on request. It is the Buyer’s responsibility to ensure that any custom labelling, branding or artwork supplied for private-label packaging complies with the food labelling laws of the destination country; the Company is not liable for regulatory non-compliance arising from labelling content supplied by the Buyer.

7Shipping, Incoterms & Delivery

Shipments are made under the Incoterm agreed at the time of order (commonly FOB, CFR or CIF from an Indian port). Estimated delivery timelines communicated by the Company are approximate and depend on factors including port congestion, shipping line schedules, customs clearance and weather conditions at origin or destination.

  • Risk in the Goods passes to the Buyer as defined by the agreed Incoterm, typically upon loading at the port of origin (FOB) or upon handover to the carrier.
  • The Company will provide standard export documentation (commercial invoice, packing list, certificate of origin, phytosanitary certificate, and bill of lading) as applicable to the shipment.
  • Any delay caused by the Buyer’s failure to provide timely shipping instructions, documentation or import permits will not be considered a delay attributable to the Company.

8Inspection & Claims

The Buyer is encouraged to arrange third-party pre-shipment inspection at its own cost where required. Any claim relating to quality, quantity or condition of the Goods must be raised in writing within 7 (seven) calendar days of arrival at the destination port, accompanied by supporting evidence (photographs, inspection reports, or a surveyor’s report).

Claims raised after this period, or claims relating to conditions that arose after the Goods left the Company’s control (e.g. improper storage, delayed customs clearance, or handling damage at destination), will not be accepted. Where a claim is upheld, the Company’s liability is limited to replacement of the affected quantity, a partial credit note, or a refund for the affected portion only — at the Company’s discretion.

9Cancellation & Amendments

Orders may be cancelled or amended only with the Company’s written consent. Once production, processing or packaging has commenced against a confirmed order, cancellation may not be possible, or may be subject to a cancellation charge covering costs already incurred (raw material, labour, packaging materials committed).

Any advance payment made against a cancelled order will be refunded after deducting such costs, where applicable, within a reasonable period agreed between both parties.

10Force Majeure

The Company shall not be held liable for any delay, failure to perform, or loss arising from causes beyond its reasonable control, including but not limited to: crop failure or agricultural shortages, adverse weather, natural disasters, port congestion or closure, strikes, shipping line disruptions, government export/import restrictions, pandemics, or other events of force majeure.

In such circumstances, the Company will notify the Buyer as soon as reasonably possible and, where feasible, propose a revised delivery timeline, partial shipment, or mutually agreed resolution.

11Certifications & Compliance

Chirak Exim operates under APEDA registration, FSSAI licensing, MSME registration, and a valid Import Export Code (IEC). While the Company ensures compliance with applicable Indian export regulations, it remains the Buyer’s responsibility to verify and comply with the import regulations, food safety standards, labelling requirements and duty structures applicable in the Buyer’s destination country prior to placing an order.

12Intellectual Property

All content on chirakexim.com — including but not limited to text, product photographs, logos, graphics and page design — is the property of Chirak Exim and is protected under applicable intellectual property laws. No part of this content may be reproduced, copied, distributed or used for commercial purposes without the Company’s prior written consent.

13Limitation of Liability

To the maximum extent permitted by law, the Company’s total liability arising out of or in connection with any order shall not exceed the invoice value of the specific shipment giving rise to the claim. The Company shall not be liable for any indirect, incidental, consequential or special damages, including loss of profit, loss of business opportunity, or reputational loss, arising from the sale, delay or non-delivery of Goods.

14Confidentiality

Pricing, quotations, contract terms and any non-public business information exchanged between the Company and the Buyer shall be treated as confidential and shall not be disclosed to third parties without the prior written consent of the disclosing party, except where required by law or applicable customs/regulatory authorities.

15Governing Law & Jurisdiction

These Terms & Conditions, and any contract formed pursuant to them, shall be governed by and construed in accordance with the laws of India. Subject to any arbitration clause agreed in a specific sales contract, the courts at Tirupati, Andhra Pradesh, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

16Changes to These Terms

The Company reserves the right to update or amend these Terms & Conditions at any time, without prior notice, to reflect changes in business practice, regulatory requirements or trade policy. The version published on chirakexim.com at the time an order is confirmed shall apply to that order. Buyers are encouraged to review this page periodically.
